Terms of Service

1. Introduction

Welcome to Grow-One, a platform operated by MLogic One Inc. (grow.mlogicone.com). By signing up and using our platform, you agree to these Terms of Service. Grow-One provides automated client acquisition tools, including custom landing pages, automated lead capture, and content generation for real estate professionals.

2. Service Agreement & Billing

  • 1-Year Agreement: Upon paying the initial setup fee, you enter into a 1-year service agreement with Grow-One.
  • Setup Fee: A one-time activation fee of $500.00 is required to initiate domain procurement and platform branding.
  • Monthly Subscription: The $99.00 monthly subscription grants you access to platform features including lead capture, content generation, and publishing tools.
  • Success Fee: Users agree to pay a tiered "Success Fee" for each lead or client closing facilitated through the platform. This fee is calculated per calendar month as follows:
    • 0.1% for the first (1st) closing of the month.
    • 0.2% for the second (2nd) closing of the month.
    • 0.25% for the third (3rd) and all subsequent closings in the same month.
  • Third-Party Payments: The Success Fee may be paid directly through the platform or by a designated third party (e.g., your employer, brokerage, or company). If a third party assumes responsibility for the Success Fee, the user remains responsible for ensuring the payment is successfully processed.
  • Usage Limits: To ensure platform stability, active subscriptions include daily generation credits. A credit is consumed only when you download a file or share it to social media or your personal website. Current limits are 3 videos per day and 10 branded images per day. Grow-One reserves the right to adjust these limits to prevent system abuse.
  • Auto-Renewal: Your monthly subscription will automatically renew every month unless cancelled via the Stripe Customer Portal.

3. Refund & Cancellation Policy

Final Sales: All payments made to Grow-One are final. Due to the immediate allocation of digital resources (custom domain registration, SSL certification, and API infrastructure costs), Grow-One does not offer refunds, credits, or prorated returns for any setup fees or subscription payments once the transaction is processed.

Cancellation: You may cancel your monthly subscription at any time through the "Billing" section in your dashboard via the Stripe Customer Portal. Upon cancellation, you will retain access to your plan benefits until the end of your current paid period.

4. Access & Suspension

If your subscription is cancelled or payment fails (lapses):

  • Access to platform features (dashboard tools, video generation, and lead management) will be immediately restricted.
  • Your custom domain will remain reserved for you until the end of your original 1-year agreement.
  • You can restore access to your tools at any time by reactivating your subscription through the dashboard.

5. User Content & Licensing

You must own or have the explicit right to use any materials you upload to the platform (including but not limited to photos, logos, and MLS data). By uploading content, you grant Grow-One a license to use this content solely for the purpose of providing the service (e.g., displaying your logo on your landing page or generating branded videos).

AI-Generated Content: For any content generated by our AI tools (e.g., video scripts or marketing copy), you are granted a non-exclusive license to use such content for your professional marketing. You are responsible for reviewing and ensuring the accuracy and compliance of all AI-generated output before publication.

6. Trademarks & Compliance

You are responsible for ensuring that your domain name, branding, and marketing copy do not violate third-party trademarks (e.g., using "REALTOR®" improperly). Grow-One does not guarantee specific lead volumes or conversion rates.

7. Third-Party Financial Services & Estimators

Grow-One integrates with third-party providers such as CIC Credit (SmartPay) and provides automated financial estimation tools (Smart Calculators).

  • Calculations & Estimates: Any results provided by our Smart Calculator or Pre-Approval Wizard are strictly estimates based on the data you provide. These results are for informational purposes only and do not constitute a loan approval, commitment to lend, or official financial advice.
  • Not a Lender: Grow-One is a technology provider and does not issue credit, perform credit scoring, or make lending decisions.
  • Third-Party Terms: Use of credit application services is subject to the terms and privacy policies of CIC Credit. All fees paid for credit reports (e.g., the $130 Plan B fee) are paid directly to the provider.
  • Lead Capture & Verification: By using our calculators or initiating a credit application, you acknowledge that Grow-One captures your contact information for the specific agent's lead management system to facilitate follow-up and professional advisory services.

8. Zero Tolerance & Content Safety Policy

Prohibited Activities: Use of Grow-One for deceptive practices, fraud, phishing, or any activity that violates local, state, or international law is strictly prohibited.

Content Moderation: You are solely responsible for the content you generate or edit using our AI tools. Generating or attempting to generate content that includes profanity, hate speech, racism, or incites violence, death, or harm is strictly prohibited. Our system employs automated content verification to enforce these rules.

Immediate Termination: If the System detects or receives reports of illegal use, or if you violate our content safety policies (e.g., bypassing script filters to generate offensive videos/audio), Grow-One reserves the right to terminate your account immediately without prior notice. In such cases, all remaining access will be forfeited without any right to a refund.

9. Brand Post Studio & AI Services

Our Brand Post Studio utilizes advanced Artificial Intelligence (AI) and third-party media APIs.

  • AI Scripting (Gemini): Marketing scripts are generated using Google Gemini. You acknowledge that AI may occasionally generate inaccurate or biased information. It is your sole responsibility to verify all claims.
  • Voice Cloning (ElevenLabs): By using the "Voice Clone" feature, you consent to the processing of your voice sample for the purpose of creating a digital voice model. You represent that you are the sole owner of the voice being cloned.
  • Third-Party Media (Pexels): Background imagery and videos are provided via Pexels. Use of this media is subject to the Pexels License. Redistribution or sale of raw media files is prohibited.

10. Lead Management & Data Synchronization

To provide a high-fidelity CRM experience, Grow-One utilizes automated data synchronization.

  • De-duplication: Our system will automatically merge and enrich existing lead records if the same individual (identified by email) submits data via multiple forms or tools.
  • Business Intelligence (BI): By using the platform, you acknowledge that Grow-One generates real-time performance analytics based on your account activity, including lead pipeline distribution and content production trends, to provide actionable business insights in your dashboard.
  • Interactive State Persistence: We utilize browser-side storage (`localStorage`) to ensure that your custom branding adjustments, generated AI scripts, selected topics, and layout positions across ALL generator tools (Image Generator, Video Audio Generator) are preserved for your convenience between sessions.
  • Branding Responsibility: While we provide interactive tools to move and scale brand elements (Logo, Footer), you are solely responsible for ensuring that your final manual placements maintain professional standards and compliance with local advertising laws.
  • Media Organization: To facilitate professional content management, the system provides advanced filtering and dynamic sorting (Newest, Oldest, A-Z) tools. Media assets in the gallery display their full system filenames for accurate identification.
  • Automated Follow-ups: To enhance lead conversion, Grow-One includes an automated notification system that sends reminders for upcoming monthly payments, new lead alerts, and scheduled client follow-ups (e.g., at 6 months and 1 year post-conversion). By using the platform, you consent to these automated communications sent on your behalf or for your management.

11. Intellectual Property & Asset Licensing

All software, design, code, architecture, templates, and pre-provided media assets (including background music, stock sounds, and default graphics) are the exclusive intellectual property of MLogic One Inc.

  • Limited License: MLogic One Inc. grants you a limited, non-exclusive, non-transferable license to use these assets strictly for the generation of marketing materials through the Grow-One platform.
  • No Resale or Distribution: You are expressly prohibited from downloading, extracting, reselling, or distributing the raw media assets (e.g., background music tracks, templates) outside of the final rendered videos or images produced by the platform.
  • User Content: You retain all ownership rights to the personal data, logos, and original content you upload to the system.

12. Content Generation & AI Data Sharing Consent

By using our content generation tools (Image Generator, AI Flyer, AI Reel Builder), you provide your explicit consent for Grow-One to use your property data, uploaded assets, and branding information to generate marketing materials.

  • AI Flyer (Native Generation): When using the "Magic AI Flyer" feature, you acknowledge that property-specific text (address, price, headline) and your selected brand color are shared with third-party generative AI models (Google Gemini) to produce native artwork.
  • Internal Processing of Personal Photos: You acknowledge that while we use third-party AI services for text, audio, and flyer artwork, your **personal photos, agent avatars, and official logos** are never sent to external AI providers. These sensitive assets are processed internally on our private servers and superposed onto AI-generated content locally to ensure maximum privacy and brand fidelity.
  • Website Publishing & Hosting: When you utilize the 'Share to My Website' feature, your generated content is transferred and hosted on our high-performance edge storage (MinIO) to be served publicly on your custom domain. You agree to only publish content that complies with our terms, as this content will be immediately accessible to the public via an integrated interactive player and media gallery.
  • Manual Edits & Limits: To ensure technical audio synchronization, manual edits to AI-generated scripts are subject to a **20-word limit per scene**. AI-generated scripts may occasionally exceed this limit at the system's discretion.
  • Permanent Deletion: You have the right to permanently delete any generated media (QR codes, images, flyers, videos) from your dashboard. Upon deletion, these assets are removed from our storage systems. Additionally, if you discard a video preview without saving it, the associated temporary media files are automatically purged to protect your privacy and optimize storage.

13. Limitation of Liability & Indemnification

Limitation of Liability: To the maximum extent permitted by applicable law, MLogic One Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising out of your use of the platform. In no event shall our total aggregate liability exceed the total amount you paid to us during the twelve (12) months immediately preceding the claim.

Indemnification: You agree to indemnify, defend, and hold harmless MLogic One Inc., its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the platform, your violation of these Terms, or your infringement of any third-party intellectual property or compliance laws (including real estate and lending advertising regulations).

14. Governing Law & Dispute Resolution

These Terms of Service and any disputes arising out of or related to the use of the platform shall be governed by and construed in accordance with the laws of the jurisdiction in which MLogic One Inc. is registered, without regard to its conflict of law principles.
